Ms. Wang is in charge of Firm’s general practice. She has extensive knowledge and experience in commercial and immigration laws. She advises start-up companies dealing with corporate governance and compliance, sales agreements, cooperation agreements, and other relevant legal issues related to the companies’ business and operation. Additionally, Ms. Wang also assists clients on Chinese-IPO-related matters, where she leads a team of professionals to conduct comprehensive due diligence on U.S. subsidiaries of pre-IPO parent companies. Moreover, Ms. Wang counsels overseas clients and their foreign national employees on all phases of business immigration process to ensure the matters are handled in a professional, efficient manner. · Client is an innovation-driven consumer group that has been listed on the main board of SEHK since 2007. Purchased a landmark skyscraper in Downtown Manhattan for $725 million in 2013 to be used as its US headquarter. Assess and prepare visa applications for all seniors and executives for its parent company as well as all subsidiaries. This includes securing appropriate IV and NIV for Chief Representative, Head of Legal, HR, mid to senior-level Finance members, as well as evaluation of all new hires. Continuous representation since 2013.
· L-1A/H-1B/O-1A visa preparation for a prominent investment management company anchored by family funds with multiple investment strategies and global footprints. Its worldwide AUM is currently around $6 billion in total. Continuous representation since 2018.
· Exclusive representation for a global clinical-stage biopharmaceutical company headquartered in the Cayman Islands. The wholly-owned US subsidiary is listed on Nasdaq. Continuous representation since 2016.
· Client is an SEHK-listed Chinese leading prime office landlord and developer with iconic and landmark design focused on central Beijing and Shanghai. Prepared and secured H-3 visa for a key employee who needs to come on board in the U.S. subsidiary. Continuous representation since 2018.

Corporate Representative Matters
· Assisted a NYC-based client in becoming an international media company by forming a DE holding company to accept angel investment fund and restructured NY company into an operating company. In addition to angel investor funding, also advised on all legal aspects such as commercial lease, shareholding structures, and business immigration. Continues representation since 2013.
· US exclusive representation for one of China’s largest hotpot restaurant chains with over 800 outlets in China. The client has been strategically moving into the US market since 2018. Responsible for overall US structuring and formation of US wholly-owned subsidiary and JV company. Continues to handle all seniors and executives' visa applications.
· Conducts Semi-annual due diligence investigation and issuance of DD report for a leading interactive entertainment company’s pre-IPO need in China. Also continues to represent the client for business immigration need.
· Representation of an overseas news and screen media company in negotiation for amending outdoor advertising display in Times Square, New York. The amount in dispute was over half a million dollars.
· Representation of several overseas companies in negotiation for commercial lease dispute due to Covid-19. The aggregate amount in dispute is over 1.5 million per year.

Ms. Zhao leads the Firm’s business immigration service for high net-worth individuals and individuals with specialized skills.  Ms. Zhao also leads the Firm’s Art and Entertainment Law practice, which provides domestic and cross-border legal services for established artists, their studios, or related business entities.  These services include assisting clients to establish the proper legal structure, address daily legal compliance issues, and copyright and trademark protection issues. In addition, she also provides legal solutions for clients in planning and securing work authorizations for cross-border cultural projects and their domestic and international recruitment of foreign workers.

As a recognized professional in her areas of expertise, Ms. Zhao is a frequent speaker and contributor at various industrial forums and events, covering topics of legal status compliance, intellectual property, start-up laws, and career development.

Prior to joining the Firm, Ms. Zhao had gained wide-ranging experience in international business laws and public international laws. She had served as Research Assistant for the United Nations Codification Division, Office of Legal Affairs in New York Headquarters; and the United Nations International Law Commission in Geneva, where she provided legal assistance to both the South African and the Chinese Commissioners.

Mr. Gang Yuan is a seasoned lawyer focusing on cross border transactions. He worked as senior lawyer (partner and senior counsel) at top US and UK law firms (Dewey & LeBoeuf LLP, Weil Gotshal & Manges LLP, Freshfields Bruckhaus Deringer LLP and Miller, Canfield,, Paddock and Stone) for more than 10 years. Mr. Yuan’s service areas include Mergers & Acquisitions, IPOs, Private Equity, Joint Venture and Disputes Resolutions.

For Chinese outbound transactions, Mr. Yuan acts for Chinese investors, including large state-owned companies, public companies and large private companies, for their investments around the world, mainly in the US, Canada, Europe, Central Asia, Southeast Asia and South American countries. For inbound investment to China, Mr. Yuan has advised a large number of multinational corporations in connection with their M&A activities and joint venture transactions. His experience includes representing one of the largest private equity firms to acquire a 20% interest in a state-owned enterprise in Shanghai, a major telecommunication company in its joint venture with the largest state-owned financial institution in Shanghai, a Chinese auto manufacturer to acquire a Korean auto company. Mr. Yuan was also involved in many investment related disputes, especially those disputes by Chinese companies for their investments in the US. Mr. Yuan also handled many private equity deals and insurance transactions.

Mr. Yuan received his MA in law from Peking University in 1996 and his JD from University of Iowa in 2002. He is an attorney licensed in the State of New York, the State of New Jersey and the State of California. He passed the China bar in 1995.

Mr. Peter Breger is an entertainment attorney who has represented theatre and film producers and investors, commercial and non-profit theatres, writers, directors, and performers for over twenty-five years.  He is a Tony-Nominated producer of Broadway, Off-Broadway, and Regional Theatre, whose credits include the Broadway revival of Damn Yankees (directed by Jack O’Brien and starring Bebe Neuwirth), David Mamet’s Oleanna, Paul Rudnick’s Jeffrey, and Hide Your Love Away, the New York stage debut of Justin Theroux.


As an attorney, Mr. Breger has represented The Fantasticks (the world’s longest running musical), Gerard Alessandrini’s Forbidden Broadway and Spamilton (the critically-acclaimed parody of Lin-Manuel Miranda’s Hamilton), the Broadway and touring productions of Amazing Grace, co-producers of the Broadway revivals of Eugene O’Neill’s Desire Under the Elms (starring Brian Dennehy) and David Mamet’s Speed the Plow (starring Elisabeth Moss in her Broadway debut), the international tour of Trey Parker’s Cannibal!, and a number of Off Broadway theatres, including New World Stages, 45 Bleecker, St. Luke’s Theatre, the Theatre Center, the Players Theatre, and the Cherry Lane Theatre.

Mr. Breger was the Executive Director of the Actors’ Playhouse for twelve years, continuing its proud tradition of championing new artists at the beginning of their remarkable careers since it opened at the dawn of the independent theatre movement in New York in the 1950s. The Actors’ Playhouse was the home of productions of Harvey Fierstein’s Torch Song Trilogy, Stephen Sondheim’s Marry Me a Little, the Ridiculous Theatre Company’s Murder at Mincing Manor, John Herbert’s Fortune and Men’s Eyes and Seth Rudetsky’s Rhapsody in Seth.

Mr. Breger is a Founding Director and the President of the Off-Broadway Alliance (OBA), a non-profit corporation organized by theatres, producers, general managers, publicists, advertising and marketing professionals to represent and promote independent theatre. The OBA provides support, mentorship, and resources to theatrical community, and it originated the Off Broadway Economic Impact Report, a collaboration with the New York City Mayor’s Office of Film, Theatre & Broadcasting, which documents the $500M annual economic impact of Off Broadway theatre in the City of New York. And the OBA presents the annual Off Broadway Alliance Awards, which honors the best new work of each New York theatre season and the lifetime achievements of important playwrights, directors, performers, producers, and theatre companies.

Ms. Yuxuan Chen is a partner in Yuanhe & Associates’ IP Practice in Beijing office. She brings more than 14 years of experience in global IP, commercial litigation, information technology and Internet regulatory issues, with an emphasis on China. Ms. Chen focuses her practice on enforcement and litigation action in relation to IP infringement, passing off and anti-counterfeiting actions, invalidation proceedings, as well as filing and prosecution of patents, copyrights, and trade/service marks. She is also experienced in advising multinational technology companies in the establishment and implementation of comprehensive IP protection, licensing, merchandising, and corporate transactions.

Ms. Chen’s main industry focus is electronics sector, but she also counsels clients in the mechanical and pharmaceutical sectors. In addition to her practice, she teaches Patent Law and IP strategies regularly as a Research Fellow at IP Research Institute of Southwestern University of Finance & Economics.

Prior to joining the Firm, Ms. Chen worked as a patent attorney at a leading Chinese law firm, where she assisted clients with all phases of the IP transactional and advisory matters, including patent filing, licensing/revenue share, portfolio management, and IP due diligence in corporate transactions. Her portfolio also includes the researching and developing experience in the field of Integrated Circuit which she gained when she served as an engineer in the China’s Ministry of Public Security.

Yaxi’s practice focuses on IP litigation and cross-border dispute resolution.
